1. Acceptance of Terms
By creating an account or otherwise using SimplePayment, you agree to these Terms of Service. If you don't agree to them, please don't use the service. If you're using SimplePayment on behalf of a business, you're confirming that you have the authority to bind that business to these terms.
2. Description of the Service
SimplePayment is invoicing and payment-collection software. It lets a business create and send invoices, accept card payments through Stripe, record bank-transfer, cash, or check payments, and track the status of each invoice. SimplePayment is not accounting, bookkeeping, expense-tracking, or recurring-billing software, and it does not act as a bank or hold funds on your behalf — those are deliberate boundaries of what the service does.
3. Eligibility
You must be able to form a legally binding contract to use SimplePayment. By using the service on behalf of a company or other organization, you confirm that you're authorized to act on its behalf and to accept these terms on its behalf.
4. User Accounts
You're responsible for keeping your account credentials secure and for all activity that happens under your account. Let us know right away at support@simplepayment.io if you suspect any unauthorized access. You're responsible for keeping your account information accurate and up to date.
5. User Responsibilities
You're responsible for the accuracy of the invoices, client information, and other content you enter into SimplePayment, and for making sure you have a lawful basis to collect, store, and process any personal information belonging to your own clients. You're also responsible for complying with any tax, invoicing, or record-keeping laws that apply to your business.
6. Acceptable Use
You agree not to use SimplePayment to:
- Send invoices for goods or services that weren't actually provided, or otherwise commit fraud;
- Violate any applicable law or the rights of any third party;
- Attempt to gain unauthorized access to the service, other accounts, or our infrastructure;
- Interfere with or disrupt the integrity or performance of the service; or
- Reverse-engineer, decompile, or attempt to extract the source code of the service, except where the law specifically allows it.
7. Payments
SimplePayment offers Free, Solo, and Team plans as described on our Pricing page. Subscription fees for paid plans are billed through Stripe. Separately, when your own clients pay an invoice you've sent, card payments are processed through Stripe directly into your connected account — SimplePayment does not hold or take a share of your clients' payments. You're responsible for any taxes owed on payments you receive from your own clients, and for any refunds you choose to issue to them.
8. Third-Party Services
SimplePayment relies on third-party services to operate, including Stripe for payment processing, SendGrid for sending emails, and MongoDB Atlas for data storage. Your use of SimplePayment may be subject to those providers' own terms — for example, when your client pays by card through Stripe's hosted checkout. We aren't responsible for the availability or performance of third-party services we don't control.
9. Intellectual Property
SimplePayment, including its software, design, and branding, is owned by RHOMTRIP OÜ and is protected by applicable intellectual property laws. You retain ownership of the content you upload or enter — your logo, client information, and invoice data — and grant us only the rights necessary to provide the service to you.
10. Beta Features
From time to time, SimplePayment may make preview, beta, or experimental features available. These features are provided "as is," may change or be discontinued at any time, and may not be subject to the same support or availability commitments as generally available features.
11. Service Availability
We work to keep SimplePayment available and reliable, but we don't guarantee uninterrupted or error-free access. From time to time we may need to perform maintenance, make changes, or temporarily suspend parts of the service.
12. Disclaimers
SimplePayment is provided "as is" and "as available," without warranties of any kind, express or implied, to the fullest extent permitted by applicable law. We don't warrant that the service will be uninterrupted, secure, or free of errors.
13. Limitation of Liability
To the fullest extent permitted by applicable law, RHOMTRIP OÜ will not be liable for any indirect, incidental, special, or consequential damages arising from your use of SimplePayment. Our total liability for any claim relating to the service is limited to the amount you paid us in the twelve months preceding the claim.
14. Suspension and Termination
You may stop using SimplePayment and close your account at any time. We may suspend or terminate your access if you breach these terms, use the service unlawfully, or don't pay fees that are due. If your account is terminated, any fees already owed remain payable, and your data will be handled according to the retention terms in our Privacy Policy.
15. Governing Law
These terms are governed by the laws of Estonia, without regard to conflict-of-law principles.
16. Changes to these Terms
We may update these terms from time to time. If we make material changes, we'll update the effective date above and, where appropriate, notify you directly. Continuing to use SimplePayment after a change takes effect means you accept the updated terms.
